These Terms of Service (“Terms”) govern the website services provided by Async Creative Solutions LLC (“Async,” “we,” “us,” or “our”). By using our services, you (“Client,” “User,” or “you”) agree to be contractually bound by these Terms.

Our services are powered by the Sitejet software and platform, owned by WebPros International GmbH,. Your use of our services is additionally subject to the Sitejet Terms of Service, which can be found at: https://www.sitejet.io/en/tos

1. Description of Services
Async provides a platform for creating and hosting websites as well as managing associated domains and email services. These services utilize Sitejet’s software, templates, and hosting infrastructure.

2. Eligibility and Account Responsibility

• Eligibility: You must be at least 18 years of age and have the full legal capacity to enter into a binding contract.
• Information Accuracy: You agree to provide true, accurate, current, and complete information during registration and to maintain its accuracy,.
• Security: You are solely responsible for the secure and confidential handling of your login data and for all activities that occur under your account. You must notify Async immediately of any unauthorized use or security breach.

3. Acceptable Use Policy
You agree not to misuse the services. Prohibited actions include, but are not limited to:

• Sending unauthorized commercial communications (spam).
• Accessing the platform via automated means (robots, scrapers) without permission.
• Uploading viruses or harmful code.
• Posting content that is illegal, hateful, obscene, threatening, or defamatory.
• Impersonating any person or entity, including Async or Sitejet employees.
• Engaging in activities that disrupt the services or connected networks.

4. Intellectual Property
Platform Ownership: All related code, including CSS, HTML, and JavaScript, as well as presets, templates, and themes, are the copyrighted intellectual property of WebPros International GmbH. This code may not be copied, redistributed, or hosted elsewhere without written consent.

• User Data: You retain all rights and title to the data and content you provide (“User Data”). You grant Async and Sitejet a license to host, reproduce, and process this data for the purpose of providing the services.
• Feedback: Any suggestions or ideas for improvement provided to Async become the property of the service provider and may be used without compensation.

5. Third-Party Providers
Our services may integrate with Third-Party Providers for features such as e-commerce (e.g., Ecwid), payment processing, and domain registration.

• Intermediary Status: Async acts as an intermediary; your use of these features is subject to the terms and privacy policies of the respective Third-Party Provider,.
• Compliance: You are responsible for obtaining appropriate prior consent (e.g., cookie banners) from your visitors if third-party tools collect their data.

6. Payment and Contract Terms

• Recurring Fees: Services operate on a recurring fee basis with automatic renewal at the end of each contract term.
• Non-Refundable: All fees, including setup, hosting, and domain fees, are non-refundable unless required by law.
• Taxes: You are responsible for all applicable taxes, levies, or duties associated with your use of the services.
• Price Changes: We reserve the right to change prices with advance notice; changes will apply upon your next renewal.

7. Migration Risks
If you migrate an existing website to our platform, you acknowledge that some content may not fully transfer or may be customized during the process. Async is not responsible for data loss, degradation in search engine ranking, or loss of traffic resulting from migration.

8. Disclaimer of Warranties and Limitation of Liability

• "As Is" Basis: Services are provided "as is" and "as available" without warranties of any kind, including accuracy, fitness for a particular purpose, or non-interruption.
• Limitation of Liability: To the extent permitted by law, Async’s cumulative liability is limited to the fees paid for the services during the twelve months preceding the claim.
• Indirect Damages: Async and its partners are not liable for indirect, incidental, or consequential damages, loss of profits, or loss of data.

9. Termination
Async may terminate this agreement immediately if you breach these Terms, fail to make payments, or engage in fraudulent activities. Upon termination, your right to use the services ceases, and data on the platform may be immediately deleted.

10. Governing Law
While the underlying Sitejet platform is governed by the laws of Switzerland, your relationship with Async Creative Solutions LLC, a Delaware entity, is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. You also agree to comply with all applicable US and EU export laws and regulations.
